By accessing or using the ConnectSphere Teams Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you and ConnectSphere Solutions, Inc., located at 425 Market Street, Suite 2200, San Francisco, CA 94105. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Service.
ConnectSphere Teams is a unified communication and collaboration platform designed to enhance teamwork and productivity. The Service provides a range of features, including instant messaging, video conferencing, file sharing, and team-based workspaces. ConnectSphere Solutions, Inc. reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.
To access certain features of the Service, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You must notify ConnectSphere Solutions, Inc. immediately of any unauthorized use of your account or any other breach of security.

The Service and its original content, features, and functionality are owned by ConnectSphere Solutions, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not reproduce, modify, distribute, or create derivative works of the Service without our express written permission.
You retain ownership of any content that you submit, post, or display on or through the Service ("User Content"). By submitting, posting, or displaying User Content, you grant ConnectSphere Solutions, Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content on and through the Service. You represent and warrant that you have all the rights necessary to grant the licenses in this section and that your User Content does not infringe the rights of any third party.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CONNECTSPHERE SOLUTIONS, INC. MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CONNECTSPHERE SOLUTIONS, INC. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.
IN NO EVENT SHALL CONNECTSPHERE SOLUTIONS, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF CONNECTSPHERE SOLUTIONS, INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CONNECTSPHERE SOLUTIONS, INC.'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO CONNECTSPHERE SOLUTIONS, INC. FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless ConnectSphere Solutions, Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
ConnectSphere Solutions, Inc. reserves the right to modify these Terms at any time. We will provide notice of any material changes to these Terms by posting the updated Terms on the Service or by sending you an email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the revised Terms.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
These Terms constitute the entire agreement between you and ConnectSphere Solutions, Inc. relating to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and ConnectSphere Solutions, Inc. with respect to the Service.
No waiver of any provision of these Terms shall be effective unless in writing and signed by ConnectSphere Solutions, Inc. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.
